Terms & Conditions – License for Penny, the Fractional Proposal Writer
Effective Date: September 26, 2025
Provider: Cindy Wagman Consulting (“Provider”)
Licensee: The individual or entity purchasing access to Penny, the Fractional Proposal Writer (“Penny” or “Licensed GPT”)
1. Grant of License
1.1 Provider grants Licensee a non-exclusive, non-transferable, revocable license to access and use Penny through Licensee’s own ChatGPT account for internal business purposes related to proposal writing.
1.2 Licensee is purchasing a license to access Penny, not ownership of the underlying AI model, prompts, or intellectual property.
2. Access & Use
2.1 Penny is accessed through the OpenAI ChatGPT platform. Licensee must maintain their own ChatGPT account to use Penny.
2.2 The amount of usage available depends on the Licensee’s ChatGPT plan:
Free-tier ChatGPT accounts may reach usage limits quickly.


Paid ChatGPT accounts (e.g., Plus/Pro) allow longer or expanded usage.
2.3 Licensee agrees not to:
Share, resell, sublicense, or redistribute Penny.


Reverse-engineer, copy, or attempt to replicate Penny.


Use Penny for unlawful, harmful, or unethical purposes.
3. Payment & Fees
3.1 Penny is a one-time purchase. All payments are final and non-refundable unless required by applicable law.
3.2 Access continues as long as Licensee maintains a compatible ChatGPT account, subject to Provider’s rights in Section 6.
4. Intellectual Property
4.1 Cindy Wagman Consulting retains all rights, title, and interest in Penny, including prompts, system instructions, and related intellectual property.
4.2 Licensee receives no rights of ownership in Penny, only the limited license described in Section 1.
5. Limitations & Disclaimers
5.1 Penny is provided “as is” without warranties of any kind, including merchantability, fitness for a particular purpose, or error-free performance.
5.2 Outputs from Penny are generated by artificial intelligence and may be inaccurate, incomplete, or inappropriate. Licensee is solely responsible for reviewing and verifying all outputs before relying on them in proposals or communications.
5.3 Data entered into Penny is handled by OpenAI through the ChatGPT platform. Licensee should review OpenAI’s Privacy Policy for details about data security and storage.
5.4 Cindy Wagman Consulting is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use Penny.
6. Term & Termination
6.1 This license is valid for the lifetime of Penny as offered by Cindy Wagman Consulting. “Lifetime access” means access for the lifetime of Penny, the Fractional Proposal Writer as maintained by Cindy Wagman Consulting. It does not mean the lifetime of the Licensee. Provider reserves the right to discontinue Penny at any time, with reasonable notice when possible. If Penny is discontinued, Licensee’s access will end, and no refund or partial refund will be provided.
6.2 Provider may discontinue or withdraw Penny at any time, with reasonable notice when possible.
6.3 Provider may terminate this license immediately if Licensee breaches these Terms.
6.4 Upon termination, Licensee must cease all use of Penny.
7. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved exclusively in the courts located in Toronto, Ontario.
8. Entire Agreement
These Terms constitute the entire agreement between Licensee and Cindy Wagman Consulting regarding Penny and supersede all prior agreements or understandings.
